Terms of Use

1. Acceptance of Terms

Welcome to ContextOne. These Terms of Use ("Terms") govern your access to and use of ContextOne, a macOS desktop application and related services operated by ContextOne, Inc. ("we," "our," or "us").

By downloading, installing, or using ContextOne, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our services.

You must be at least 13 years old to use ContextOne. By using our services, you represent that you meet this age requirement.

2. Description of Service

ContextOne is a native macOS desktop application that provides universal context capture and injection across any application on your system. Key features include:

  • Content Capture: Capture text and images from any application using system-wide accessibility APIs
  • AI-Powered Organization: Automatic folder routing and content suggestions powered by AI
  • Context Injection: Insert saved content into any editable field using triggers like @@ and @@@
  • Team Collaboration: Share folders and notes with team members through team spaces

We reserve the right to modify, suspend, or discontinue any part of the service at any time, with or without notice.

3. Account Registration

To use ContextOne, you must create an account by signing in with Google OAuth. By creating an account, you agree to:

  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

We may suspend or terminate your account if we reasonably believe you have violated these Terms.

4. Subscription Plans and Billing

Payment Terms

All payments are processed securely through Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring monthly basis until you cancel your subscription.

Refund Policy

  • First month: We offer a 30-day money-back guarantee. If you are not satisfied with your subscription within the first 30 days, contact us for a full refund.
  • After the first month: No refunds are provided for partial months. When you cancel, you will retain access to your paid features until the end of your current billing period.

Seat Billing (Team Plans)

Team plan billing is based on the number of unique users across all team spaces you own. The same user in multiple spaces counts as one seat. Pending invitations do not count toward your seat count until accepted. Seat changes are prorated immediately.

Frozen Accounts

If your payment fails or your subscription is canceled, your account may enter a "frozen" state. In this state:

  • You can view and export your data
  • You cannot create, edit, or capture new content
  • Data is retained for 90 days, after which it is permanently deleted
  • You can restore full access by reactivating your subscription

5. User Content and License

Your Content

You retain ownership of all content you create, capture, or upload to ContextOne ("User Content"). We do not claim ownership of your notes, folders, or any other content you store in the service.

License to ContextOne

By using ContextOne, you grant us a limited, non-exclusive, worldwide license to:

  • Store and process your content to provide the service
  • Analyze your content with AI for folder routing and context suggestions
  • Share your content with team members you authorize
  • Create backups to ensure data integrity

This license terminates when you delete your content or your account.

Content Responsibility

You are solely responsible for your User Content. You represent that you have all necessary rights to the content you capture and store, and that your content does not violate any third-party rights or applicable laws.

6. Acceptable Use Policy

You agree not to use ContextOne to:

  • Violate any applicable laws or regulations
  • Infringe on the intellectual property rights of others
  • Store or transmit malware, viruses, or harmful code
  • Engage in unauthorized access to other systems or accounts
  • Harass, abuse, or harm others
  • Store illegal content, including child exploitation material
  • Circumvent any technical limitations or security measures
  • Reverse engineer, decompile, or disassemble the software
  • Use the service for competitive analysis or to build a competing product
  • Resell or redistribute the service without authorization
  • Abuse the AI features by submitting excessive or malicious requests

We reserve the right to investigate and take appropriate action against anyone who violates this policy, including removing content and terminating accounts.

7. AI-Powered Features

ContextOne uses artificial intelligence (Google Gemini) to provide folder routing suggestions and context recommendations. While we strive for accuracy, AI features may occasionally produce errors or unexpected results.

You acknowledge that:

  • AI suggestions are provided as assistance, not definitive recommendations
  • You are responsible for reviewing and verifying AI-generated suggestions
  • We are not liable for any decisions you make based on AI recommendations
  • Your content is processed by third-party AI services subject to their own privacy policies

8. Intellectual Property

ContextOne and its original content, features, and functionality are owned by ContextOne, Inc. and are protected by international copyright, trademark, and other intellectual property laws.

The ContextOne name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of ContextOne, Inc. You may not use these marks without our prior written permission.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. We disclaim all warranties, including but not limited to:

  • Implied warranties of merchantability and fitness for a particular purpose
  • Warranties that the service will be uninterrupted, secure, or error-free
  • Warranties regarding the accuracy or reliability of any information obtained through the service
  • Warranties that defects will be corrected

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONTEXTONE, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including but not limited to:

  • Loss of profits, data, or goodwill
  • Service interruption or computer damage
  • Cost of substitute services
  • Any damages arising from your use or inability to use the service

Our total liability for any claims arising from or related to these Terms or your use of the service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

Some jurisdictions do not allow limitations on implied warranties or liability for incidental or consequential damages, so these limitations may not apply to you.

11. Indemnification

You agree to defend, indemnify, and hold harmless ContextOne, Inc., its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the service
  • Your User Content
  • Your violation of these Terms
  • Your violation of any rights of a third party

12. Dispute Resolution and Arbitration

Informal Resolution

Before filing a formal dispute, you agree to contact us at rr@contextone.app and attempt to resolve the dispute informally for at least 30 days.

Binding Arbitration

Any dispute arising from or relating to these Terms or the service shall be resolved through binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.

Arbitration shall be conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be held in Delaware or another mutually agreed location. The arbitrator's decision shall be final and binding.

Class Action Waiver

YOU AND CONTEXTONE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

Opt-Out

You may opt out of the arbitration and class action waiver provisions by sending written notice to rr@contextone.app within 30 days of first accepting these Terms. If you opt out, you and ContextOne may pursue disputes in court.

13. Termination

Termination by You

You may terminate your account at any time by deleting it through the app settings or by contacting us. Upon termination, your right to use the service will immediately cease.

Termination by Us

We may terminate or suspend your account immediately, without prior notice, for any reason, including but not limited to:

  • Violation of these Terms
  • Conduct that we believe is harmful to other users, us, or third parties
  • Extended inactivity
  • Request by law enforcement or government agencies

Effect of Termination

Upon termination, your data will be deleted in accordance with our Privacy Policy. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any legal action or proceeding not subject to arbitration shall be brought exclusively in the federal or state courts located in Delaware, and you consent to the personal jurisdiction of such courts.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the application at least 30 days before they take effect.

Your continued use of ContextOne after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the service and delete your account.

16. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and ContextOne regarding the service.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
  • Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.
